Terms of Service for DeePsy Services

Preamble

These terms of service (the “Terms”) govern access to and use of the websites, Dashboard, test-taking interface, APIs and other digital services published by DeePsy (the “DeePsy Services”).

DeePsy Services are notably accessible from deepsy.fr, test.deepsy.fr, api.deepsy.fr, docs.deepsy.fr and status.deepsy.fr. These Terms also apply when the Services are offered under a white label, a custom domain or another domain owned by DeePsy, including deepsy.com, deepsy.ch, deepsy.co, deepsy.io, deepsy.org, deepsy.uk and deepsy.us.

By creating an account, accepting an invitation or using DeePsy Services, the user acknowledges having read and accepted these Terms. When a user acts on behalf of a client organisation, they represent that they are authorised to bind that organisation to the extent applicable.

Commercial terms agreed with a Client prevail over these Terms in the event of a conflict concerning subscriptions, service levels or financial terms.

1. Publisher and contact details

DeePsy Services are published by DEEPSY, a French simplified joint-stock company with share capital of €1,000, registered with the Cannes Trade and Companies Register under number 922 075 494, whose registered office is located at 42 boulevard Montfleury, 06400 Cannes, France (“DeePsy”).

2. Definitions

Client means the organisation that subscribes to or benefits from the Services, including an employer, recruiter, professional, institution or company.

Dashboard means the online space used by Clients to manage their companies, members, campaigns, tests, Participants, results and related features.

User means any person using a DeePsy Service, including an administrator, Client member, candidate, Participant or visitor.

Participant means a person invited to answer a questionnaire or take an Implicit Association Test (“IAT”).

Client Content means information, instructions, documents, data, comments and other content imported, entered or generated at the initiative of a Client or User.

Services means the features provided by DeePsy: campaign creation and management, explicit questionnaires, IATs, analyses, reports, Participant monitoring, collaboration tools, programming interfaces, test-session replays and optional AI-assisted features.

3. Access and accounts

Access to certain features requires an account or valid invitation. The User must provide accurate information and keep it up to date. The User must protect their credentials, use the available security measures and promptly report any suspected unauthorised access.

Accounts are personal. Sharing or transferring an account, or using another person’s account, is prohibited. The Client is responsible for granting and removing its members’ access and configuring their permissions.

DeePsy Services are intended for adults or persons with legal capacity. A Client that exceptionally invites a minor must ensure that it has an appropriate legal basis, authorisations and information arrangements.

4. Description and development of the Services

Available features depend on the relevant plan, assigned rights and selected mode, including Health or Recruitment. DeePsy may correct, secure, update or develop the Services. Where a substantial change permanently reduces an essential feature, the Client will be informed within a reasonable period whenever possible.

Results and reports depend in particular on the answers provided, configuration quality, the test-taking context and the scientific limitations inherent in any psychometric tool. They are analytical aids and not an exhaustive statement about a person.

5. Recruitment-specific rules

The Client determines the purpose and relevance of the assessments it implements. In particular, it undertakes to:

• request only information that is directly and necessarily related to the relevant role or the professional abilities being assessed;
• inform candidates in advance about the recruitment assistance methods and techniques used;
• preserve the confidentiality of results;
• use methods that are relevant to their intended purpose;
• inform candidates in advance about the information collected and assessment methods used, under the appropriate identity and branding; use of a white label does not require the DeePsy brand or logo to be displayed;
• comply with applicable non-discrimination, equal treatment and accessibility rules;
• comply with the rules governing decisions based exclusively on automated processing where they have legal or similarly significant effects on a candidate.

DeePsy results are designed as a decision-support tool that enriches the Client’s assessment. The Client remains solely responsible for how it uses those results and for its recruitment, rejection, promotion, disciplinary or termination decisions. The Client must comply with non-discrimination rules and, where a decision is exclusively automated and produces legal or similarly significant effects, with the conditions and safeguards required by law.

6. Health and wellbeing-specific rules

Unless expressly stated otherwise, the Services are not a medical device, diagnostic service, healthcare service, psychotherapy service or emergency service. They do not replace advice from a physician, psychologist or other qualified professional.

Results must not be used alone to make a diagnosis, prescribe or discontinue treatment, assess medical fitness or make a decision liable to affect a person’s health.

In an emergency or situation of immediate danger, the User must contact the appropriate emergency services. In France: 15 or 112; for suicide prevention support: 3114.

A Client processing health data or other special categories of data is responsible for identifying an appropriate legal basis under Articles 6 and 9 GDPR, carrying out any required assessments and restricting access to authorised persons.

7. Artificial intelligence

LiAna is a wholly optional artificial intelligence assistant offered within the Dashboard. Clients may use DeePsy Services without using LiAna.

LiAna is not part of questionnaires or IATs, does not participate in test-taking and does not change their calculation methods or scores. At a User’s request, it may assist with matters such as creating campaigns or content, documentary research, summarisation, translation or understanding authorised data.

AI outputs may be incomplete, inaccurate, biased or unsuitable for the relevant context. They must be checked by a competent person before use. Users must not present an AI output as a definitive diagnosis or as certain medical, legal or professional advice.

DeePsy does not use LiAna to make final recruitment, health or legally effective decisions on behalf of a Client. The Client remains responsible for its decisions, human oversight and informing affected persons when required by law.

Users must not enter personal or confidential data into an AI tool unless it is necessary for the request. They must ensure that they are authorised to transmit the relevant data and documents. Data transfers to AI providers and individual rights are described in the Privacy Policy.

8. Participant anonymisation mode

A Client may enable anonymisation mode for a campaign. In this mode, the Dashboard displays a public alias instead of the Participant’s first and last names in the relevant views, reports, exports, webhooks and notifications, and restricts certain changes to identity data.

This mode anonymises identity for Client members viewing the results. If DeePsy retains encrypted identity data or a usable technical correspondence, the processing legally remains pseudonymisation under the GDPR until that correspondence is irreversibly destroyed. Where no usable correspondence remains and the person can no longer reasonably be re-identified, the data is considered anonymous. The Client must continue to protect the relevant data and access as personal data for as long as re-identification remains reasonably possible.

9. Test-session replays

A replay is automatically created during each test session to allow the Client to check the conditions in which the test was completed, its progress, response times and possible anomalies. It reconstructs activity only within the DeePsy test interface, including displays, interactions, clicks, navigation and periods of inactivity.

The replay does not access the camera, microphone, other browser tabs, other applications or content outside the test interface. The Participant is informed about the processing of their data before taking the test. Only authorised Client members and persons authorised by DeePsy may access the replay during its retention period.

10. General obligations of Users and Clients

Users must use DeePsy Services fairly and in accordance with the law, these Terms and third-party rights. In particular, Users must not:

• circumvent access controls or attempt to access data without authorisation;
• disrupt, probe or compromise the security of DeePsy Services;
• introduce malicious code or automate an unauthorised extraction;
• impersonate another person, share access or misuse an invitation;
• import unlawful, discriminatory or infringing content, or content that violates privacy;
• use psychometric results or AI to discriminate, manipulate or cause harm;
• falsify answers, results, reports, consent records, logs or identities;
• attempt to discover, reproduce or distribute protected test questions, stimuli, calculation methods or mechanisms;
• circumvent subscription, credit, permission or retention limits;
• use access, an API, webhook or export to create an unauthorised database;
• provide results to an unauthorised person or publish them without permission;
• copy, reverse engineer, separately license access to the Dashboard or resell DeePsy Services as a standalone product without authorisation.

Recruitment agencies, consultants and other professional intermediaries may use DeePsy Services as part of the services they provide to their own clients, subject to their plan, access rights, result confidentiality and these Terms.

The Client is responsible for the lawfulness of imported data, informing Participants, configuring permissions and handling data-subject requests falling within its responsibility.

11. Intellectual property and content

DeePsy Services, their software, trademarks, interfaces, models, methods, text and graphic elements are protected and remain the property of DeePsy or its licensors. DeePsy grants Users a limited, non-exclusive, non-transferable and revocable right to use the Services for the duration of their access.

The Client retains its rights in Client Content. It grants DeePsy the rights strictly necessary to host, reproduce, technically transform and process that content in order to provide, secure and maintain the Services. The Client warrants that it has the necessary rights and authorisations.

Data that has been effectively anonymised so that a person can no longer reasonably be identified may be used to produce statistics, measure quality and improve the Services.

12. Personal data and confidentiality

Personal-data processing is described in the Privacy Policy.

Depending on the processing activity, DeePsy acts as a controller, particularly for managing its accounts, prospects, contracts, payments and security, or as the Client’s processor for campaigns, Participants, answers, results and replays managed on the Client’s behalf.

Each party must protect confidential information it receives and use it only for authorised purposes. This obligation survives termination of access.

13. Availability, security and support

DeePsy implements reasonable technical and organisational measures to secure and maintain the availability of DeePsy Services. Uninterrupted availability cannot be guaranteed. Interruptions may result from maintenance, an incident, a supplier, the Internet or force majeure. Service status and known incidents are available at status.deepsy.fr.

Users must report incidents and vulnerabilities to support@deepsy.fr without disclosing or exploiting them.

14. Third-party services

Certain features rely on hosting, storage, payment, messaging or AI providers. Their terms may apply when a User accesses their services directly. DeePsy selects and manages its processors in accordance with its obligations but cannot guarantee the continuous operation of a third-party service.

15. Suspension and termination of access

DeePsy may suspend all or part of an account in the event of a security risk, unlawful use, a material breach of these Terms, non-payment or a legitimate request from the Client. Except in an emergency or where legally required, the User or Client will be informed and may remedy the breach within a reasonable period.

Users may request closure of their account. Termination of the Client’s agreement may result in associated access being closed. Data deletion or return is handled in accordance with the agreement, the Privacy Policy and applicable legal obligations.

16. Liability

Each party is liable for direct loss caused by its proven breach. To the extent permitted by law, DeePsy is not liable for decisions made by a Client solely on the basis of a result, AI output or configuration controlled by that Client, or for indirect loss such as loss of opportunity, business or data attributable to the User.

Nothing in these Terms limits liability that cannot legally be excluded, including liability for gross negligence, wilful misconduct, personal injury or infringement of a consumer’s mandatory rights.

17. Changes to these Terms

DeePsy may amend these Terms to reflect legal, technical or functional developments. The last-updated date appears at the top of the document. Affected Users will be informed of any material change by an appropriate means. New acceptance will be requested where required by law or by the nature of the change.

18. Governing law and disputes

These Terms are governed by French law. Complaints should first be sent to support@deepsy.fr so that an amicable solution may be sought.

For professional Clients, failing an amicable resolution and subject to mandatory rules, the courts with jurisdiction over DeePsy’s registered office will have jurisdiction. Consumers retain the benefit of all mandatory jurisdiction and consumer-protection rules applicable to them.

These Terms were originally drafted in French. This English translation is provided for information and convenience only. In the event of any discrepancy or conflict, the French version prevails, subject to any mandatory law to the contrary.
